Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OmniEV charging network, mobile and web applications, and related services (collectively, the "Service") provided by OmniEV ("OmniEV," "we," or "us"). By creating an account or by initiating a charging session, you agree to these Terms.

OmniEV is currently in early access. This document is a working baseline written in plain language. We will replace it with an attorney-reviewed version before broad commercial launch.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Service.

2. Your account

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us at support@omniev.io immediately if you believe your account has been compromised.

3. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose.
• Damage, tamper with, or interfere with OmniEV chargers or with another driver's session.
• Attempt to gain unauthorized access to the Service or to other users' accounts.
• Reverse engineer, decompile, or attempt to extract source code from the Service, except to the extent permitted by law.
• Use automated means to scrape the Service, except for clearly identified, rate-limited research where you have obtained our prior written consent.

4. Charging sessions and fees

Pricing for a charging session is shown at the start of the session and is calculated based on energy delivered (kWh), session time, and any applicable taxes or fees. You authorize OmniEV (through our payment processor) to charge the payment method on file for completed sessions.

If a session ends in a fault state, we will work in good faith to adjust or refund the charge. Contact support@omniev.io within 30 days of a disputed session.

5. Hardware and safety

Use OmniEV chargers in accordance with the manufacturer's instructions and any signage at the site. Do not use a charger that is visibly damaged. OmniEV is not the manufacturer of the chargers and does not warrant the performance of vehicles or vehicle batteries.

6. Third-party services

The Service relies on third-party services (including payment processing, identity providers, mapping, and telematics). Your use of those services is subject to their respective terms.

7. Intellectual property

The Service, including all software, content, trademarks, and logos, is owned by OmniEV or its licensors and is protected by intellectual property laws. You may use the Service only as expressly permitted by these Terms.

8. Termination

You may close your account at any time by emailing support@omniev.io. We may suspend or terminate your access if you violate these Terms or if we reasonably believe doing so is necessary to protect the Service or other users.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, OMNI EV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OMNI EV WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNTS YOU PAID OMNI EV IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Governing law

These Terms are governed by the laws of the State of Idaho, United States, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms will be brought in the state or federal courts located in Ada County, Idaho.

12. Changes to these Terms

We may update these Terms from time to time. We will update the "Last updated" date at the top of this page when we do. Material changes will be announced in the driver app or by email. Continued use of the Service after a change constitutes acceptance of the updated Terms.
